ACCEPTANCE OF TERMS
Welcome to HonorElevate, operated by Connor T. MacIvor ("Company," "we," "us," or "our"). These Terms of Service ("Terms," "Agreement") govern your access to and use of honorelevate.com and all related services, including our AI automation platform, marketing services, consulting, and white-labeled GoHighLevel solutions (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
DEFINITIONS
"Client" or "you" refers to the individual or entity using our Services.
"Content" means text, images, videos, audio, code, data, and other materials.
"User Content" means Content you submit, upload, or transmit through our Services.
"Platform" refers to our white-labeled GoHighLevel infrastructure and associated tools.
"AI Services" includes voice agents, chatbots, automation workflows, and machine learning features.
"Subscription" means your paid access to Services under a specific plan tier.
"End Users" means your customers, clients, or contacts who interact with services you deploy using our Platform.
ELIGIBILITY
You must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our Services under applicable laws
- Provide accurate and complete registration information
- Represent a legitimate business entity (for business accounts)
By using our Services, you represent and warrant that you meet these eligibility requirements.
ACCOUNT REGISTRATION
Account Creation
To access certain Services, you must create an account by providing:
- Full legal name
- Valid email address
- Business information
- Payment details
- Other required information
Account Security
You are responsible for:
- Maintaining confidentiality of login credentials
- All activities that occur under your account
- Notifying us immediately of unauthorized access
- Implementing reasonable security measures
- Ensuring strong password practices
We are not liable for losses resulting from unauthorized account access due to your failure to maintain security.
Account Accuracy
You agree to:
- Provide truthful, accurate, and complete information
- Update information promptly when it changes
- Not impersonate any person or entity
- Not create accounts for fraudulent purposes
- Not use false identities or misleading information
SERVICE PLANS AND PRICING
Custom Pricing Structure
HonorElevate provides customized service packages tailored to each business's specific needs. Pricing varies based on:
- Scope of automation required
- Number of integrations
- Complexity of AI implementations
- Level of ongoing support needed
- Volume of contacts and communications
- Custom development requirements
Specific pricing and features will be outlined in your individual Service Agreement or proposal.
Payment Terms
- Services are billed on a month-to-month basis unless otherwise agreed
- All fees are in U.S. Dollars
- Payment is due upon receipt of invoice or according to agreed payment schedule
- Payment must be received before service activation
- Late payments may result in service suspension or termination
- You authorize recurring charges to your payment method for subscription services
- Payment processing is handled through Stripe
Cancellation Policy
- Services are provided on a month-to-month basis
- Either party may cancel services with 30 days' written notice
- Notice must be sent to [email protected]
- You remain responsible for all fees incurred through the end of the 30-day notice period
- Partial month fees are not prorated upon cancellation
- Upon cancellation, access to Platform and Services will be terminated
No Refund Policy
ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS UNDER ANY CIRCUMSTANCES.
This includes but is not limited to:
- Dissatisfaction with Services
- Change in business needs
- Lack of results or desired outcomes
- Technical difficulties on your end
- Early cancellation of services
- Unused portions of service periods
By purchasing Services, you acknowledge and agree to this no-refund policy.
Price Changes
We reserve the right to modify pricing for future service periods with:
- 30 days' advance written notice to existing clients
- Immediate effect for new customers
- Changes reflected in renewal invoices
Taxes
You are responsible for all applicable sales tax, use tax, value-added tax (VAT), and other governmental charges. All fees are exclusive of taxes unless stated otherwise.
SERVICE SCOPE
Included Services
Depending on your custom service package, our Services may include:
- AI automation setup and configuration
- GoHighLevel white-label platform access
- Voice agent development and deployment using Lead Connector
- Chat AI agent implementation with transcript recording
- Email and SMS marketing automation
- CRM implementation and training
- Funnel and landing page creation
- Integration with third-party platforms
- Analytics and reporting dashboards
- Technical support and maintenance
- Strategic consulting and guidance
- Training and onboarding assistance
Service Limitations
We do not guarantee:
- Specific business results, revenue, or ROI
- Particular levels of engagement or conversion rates
- Compatibility with all third-party platforms
- Uninterrupted or error-free service
- Specific response times unless explicitly stated in Service Agreement
- Results from marketing campaigns or automation workflows
Service Availability
- We strive for high availability but do not guarantee 100% uptime
- Scheduled maintenance will be communicated in advance when possible
- Emergency maintenance may occur without advance notice
- Third-party service outages (GoHighLevel, Lead Connector, etc.) are beyond our control
YOUR RESPONSIBILITIES
Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Transmit malware, viruses, or harmful code
- Engage in spamming or unsolicited commercial communications
- Use Services to harass, abuse, or harm others
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services
- Use Services for illegal marketing practices (CAN-SPAM violations, etc.)
- Scrape or harvest data without authorization
- Reverse engineer or decompile our software
Compliance with Laws
You are solely responsible for ensuring your use of Services complies with:
- CAN-SPAM Act and anti-spam regulations
- TCPA (Telephone Consumer Protection Act)
- State and federal privacy laws
- Industry-specific regulations applicable to your business
- Terms of service of third-party platforms you integrate with
- FTC advertising and endorsement guidelines
Client Data Responsibility
When you use our Services to process End User data, you represent and warrant that:
- You have obtained all necessary consents and permissions
- You have proper legal basis to collect and process the data
- Your use complies with applicable privacy laws
- You have provided required privacy notices to End Users
- You have the right to share the data with us for processing
INTELLECTUAL PROPERTY
Our Intellectual Property
All content, features, and functionality of our Services are owned by HonorElevate or our licensors and are protected by copyright, trademark, and other intellectual property laws.
This includes:
- Website design and content
- Software and code
- AI models and automation workflows
- Training materials and documentation
- Logos, branding, and trademarks
- Proprietary methodologies and processes
Your License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services solely for your internal business purposes during your subscription term.
You may not:
- Copy, modify, or create derivative works
- Distribute, sell, or sublicense our Services
- Remove copyright or proprietary notices
- Use our intellectual property for any purpose outside the Services
Client Content Ownership
You retain all rights to content you create or upload ("Client Content"). By using our Services, you grant us a limited license to:
- Host, store, and process your Client Content
- Display your content through the Platform
- Make copies necessary to provide Services
- Use for troubleshooting and support purposes
This license terminates when you delete content or close your account.
AI-Generated Content
Content generated through our AI Services (including voice agent scripts, chat responses, and marketing copy) is owned by you upon creation, subject to the following:
- Content is generated using AI models licensed from third parties (Claude, ChatGPT, Gemini, Meta AI)
- These AI providers' terms may impose certain restrictions
- We do not claim ownership of AI-generated content you create
- You are responsible for ensuring AI-generated content complies with applicable laws
Recordings and Transcripts
For Services involving voice agents or chat AI:
- Call recordings made by AI voice agents deployed for your business are owned by you
- Chat transcripts generated by AI chat agents are owned by you
- You are responsible for complying with call recording consent laws in your jurisdiction
- We may retain copies for technical support and service improvement purposes
- You must provide appropriate notice and obtain consent from End Users where required by law
THIRD-PARTY SERVICES
Integrations
Our Services integrate with third-party platforms including:
- GoHighLevel and Lead Connector
- AI providers (Claude/Anthropic, ChatGPT/OpenAI, Gemini/Google, Meta AI)
- Stripe for payment processing
- Zoho Mail for email services
- GitHub for development resources
- Loom for communication
Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for third-party services or their performance.
Third-Party Links
Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of third-party sites.
DATA AND PRIVACY
Privacy Policy
Your use of our Services is also governed by our Privacy Policy, available at honorelevate.com/privacy-policy, which is incorporated into these Terms by reference.
Data Processing
When you use our Services, we act as:
- Data Controller for information we collect about you directly (account info, billing, etc.)
- Data Processor for End User data you collect and process through our Platform
Data Security
We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You are responsible for:
- Maintaining secure passwords
- Protecting your account credentials
- Backing up your own data
- Implementing your own security measures
Data Backup and Export
- You are responsible for backing up your Client Content
- We may provide data export tools but are not obligated to do so
- Upon termination, you have 30 days to export your data
- After 30 days, we may delete your data without further notice
PAYMENT AND BILLING
Payment Processing
All payments are processed through Stripe. You agree to Stripe's terms and conditions.
Authorization
By providing payment information, you authorize us to charge:
- Initial setup fees (if applicable)
- Recurring subscription fees
- Additional services as agreed
- Applicable taxes
Failed Payments
If a payment fails:
- We will attempt to notify you via email
- We may retry the charge
- Services may be suspended until payment is received
- We may terminate your account after repeated payment failures
Disputes
To dispute a charge, contact us at [email protected] within 30 days. Chargeback disputes filed without first contacting us may result in immediate account termination.
WARRANTIES AND DISCLAIMERS
Limited Warranty
We warrant that Services will be provided in a professional manner consistent with industry standards.
DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY
- UNINTERRUPTED OR ERROR-FREE OPERATION
WE DO NOT WARRANT THAT:
- Services will meet your specific requirements
- Services will achieve particular business results
- All errors will be corrected
- Services will be available at all times
- Third-party integrations will function as expected
AI Services Disclaimer
AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR INAPPROPRIATE MATERIAL. YOU ARE SOLELY RESPONSIBLE FOR:
- Reviewing all AI-generated content before use
- Ensuring AI content complies with applicable laws
- Verifying accuracy of AI outputs
- Obtaining necessary approvals for AI-generated content
LIMITATION OF LIABILITY
Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
Excluded Damages
IN NO EVENT SHALL WE BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOST PROFITS OR REVENUE
- LOST DATA OR BUSINESS OPPORTUNITIES
- COST OF SUBSTITUTE SERVICES
- DAMAGE TO REPUTATION OR GOODWILL
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Exceptions
Some jurisdictions do not allow limitation of implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless HonorElevate, Connor T. MacIvor, and our affiliates, officers, agents, and employees from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of Services
- Violation of these Terms
- Violation of any laws or regulations
- Infringement of third-party rights
- Your Client Content
- Your End Users' complaints or claims
- Your marketing practices or communications sent through our Platform
- Violations of CAN-SPAM, TCPA, or other communications laws
TERMINATION
Termination by You
You may terminate your subscription by providing 30 days' written notice to [email protected]. You remain responsible for all fees through the end of the notice period.
Termination by Us
We may suspend or terminate your access to Services immediately if you:
- Violate these Terms
- Fail to pay fees when due
- Engage in fraudulent or illegal activities
- Use Services in ways that harm our reputation or systems
- Violate third-party terms (GoHighLevel, AI providers, etc.)
We may also terminate your subscription with 30 days' notice for any reason or no reason.
Effect of Termination
Upon termination:
- Your access to Services will cease
- You must pay all outstanding fees
- We may delete your data after 30 days
- Sections of these Terms that by nature should survive will survive (Intellectual Property, Indemnification, Limitation of Liability, etc.)
No Refunds Upon Termination
Termination does not entitle you to any refund of fees paid.
DISPUTE RESOLUTION
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Jurisdiction and Venue
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction in these courts.
Informal Resolution
Before filing any legal action, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Arbitration
If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration shall take place in Los Angeles County, California.
Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
Small Claims Exception
Either party may bring an action in small claims court instead of arbitration for disputes within the court's jurisdiction.
GENERAL PROVISIONS
Entire Agreement
These Terms, together with our Privacy Policy and any Service Agreement, constitute the entire agreement between you and HonorElevate regarding Services.
Modifications
We may modify these Terms at any time by posting updated Terms on our website. Continued use of Services after changes constitutes acceptance. Material changes will be communicated via email when possible.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor or affiliate.
Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control (natural disasters, internet outages, third-party service failures, etc.).
Independent Contractor
You and HonorElevate are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.
