1. Agreement to these terms

These Terms of Service govern your use of the HonorElevate website at honorelevate.com and any services you request or receive from HonorElevate, a business operated by Connor MacIvor in Santa Clarita, California ("HonorElevate," "we," "us"). By using this site or engaging our services, you agree to these terms. If you do not agree, please do not use the site or the services.

If you engage us for a specific project, we may also sign a separate written agreement or statement of work. Where that signed agreement conflicts with these terms, the signed agreement controls for that engagement.

2. What HonorElevate provides

HonorElevate builds and operates artificial-intelligence and business-automation systems, which may include AI voice agents, lead-nurturing and follow-up automation, CRM configuration, appointment and pipeline workflows, and marketing automation. The specific scope of any engagement is what we agree with you in writing. This website is informational, and viewing it does not create a service engagement.

3. Proposals, fees, and payment

Any pricing we quote is set out in a proposal or statement of work specific to your engagement. Unless that document says otherwise, setup and build fees are due before work begins, and recurring service fees are billed in advance each period. Third-party costs you authorize, such as advertising spend, telephony usage, or platform fees, are your responsibility and are paid by you directly to those providers or reimbursed to us at cost, with no markup unless we state otherwise in writing. Fees for work already performed are non-refundable.

Automated calling and text messaging are regulated. If we build a system that sends texts or places calls on your behalf, you are responsible for having proper consent from your contacts and for complying with the Telephone Consumer Protection Act, CAN-SPAM, state law, and carrier and platform rules. We build systems with consent gating and opt-out handling and will advise on compliant practice, but you are the sender of record for your own campaigns and remain responsible for how you use the system. We may refuse or stop work that we believe violates these rules.

6. Third-party platforms

Our services run on top of third-party platforms, including our CRM and automation provider, telephony and voice-AI providers, email delivery, and hosting. Those platforms have their own terms and availability, and we are not responsible for their outages, changes, or actions. Your use of a system we build may also be subject to those providers' terms.

7. Intellectual property

The HonorElevate name, logo, website, and the methods, templates, and configurations we develop are our property. When you pay in full for an engagement, you receive a license to use the specific systems we built for your business for as long as you are a client. Content you provide remains yours, and you grant us the license needed to use it to deliver the service. You may not copy, resell, or white-label our systems or methods without our written permission.

8. Confidentiality

Each side may learn non-public information about the other while working together. Both sides agree to keep that information confidential and to use it only to perform under the engagement, except where disclosure is required by law.

9. No guarantee of results

We build systems that we use in our own businesses and that we believe work. We do not, and cannot, guarantee specific results, revenue, lead volume, response rates, or return on investment. Outcomes depend on your market, your offer, your follow-through, and factors outside our control.

10. Disclaimers

The website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the site or services will be uninterrupted, error-free, or free of harmful components.

11. Limitation of liability

To the fullest extent permitted by law, HonorElevate will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the site or the services. Our total liability for any claim relating to the services will not exceed the amount you paid us for the services in the three months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless HonorElevate and Connor MacIvor from claims, losses, and expenses, including reasonable legal fees, arising from your content, your contact lists, your use of the systems we provide, or your violation of these terms or of applicable law, including messaging and calling laws.

13. Term and termination

Either side may end an ongoing engagement with written notice as set out in the applicable proposal or statement of work, or with reasonable notice if none is stated. Fees for work already performed remain due. On termination, your license to use the systems we operate for you ends, and we will provide a reasonable export of your data where practical. Sections that by their nature should survive termination, such as intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, survive.

14. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.

15. Changes to these terms

We may update these terms as our services or the law change. When we do, we will revise the date at the top of the page. Continued use of the site or services after a change means you accept the updated terms.
